Terms of Service

1. Agreement to terms

By creating an account or using the Offline Conversions Tracking service ("OCT", the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using OCT on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

If you do not agree to these Terms, do not use the Service.

2. The service

OCT provides a SaaS platform that enables you to:

• Install a JavaScript tracking script on your website to capture form submission data and ad click identifiers.
• Store and manage captured leads in a hosted dashboard.
• Export lead data as CSV files formatted for upload to Google Ads, Meta Ads Manager, TikTok Ads, and Microsoft Advertising.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice where practicable.

3. Account registration

You must provide accurate and complete information when creating your account. You are responsible for maintaining the security of your account credentials. You must notify us immediately at hello@offlineconversionstracking.com if you become aware of any unauthorised access to your account.

You may not share your account credentials with others or create accounts on behalf of third parties without their knowledge. Each login corresponds to one user.

4. Acceptable use

You agree not to use OCT to:

• Collect data from websites you do not own or do not have explicit permission to track.
• Collect data in violation of applicable privacy laws, including GDPR, CCPA, or the ePrivacy Directive.
• Capture passwords, payment card data, or other sensitive financial information (our script explicitly excludes type="password" fields, but you must ensure your forms do not expose sensitive data in other fields).
• Interfere with, disrupt, or overload the OCT infrastructure.
• Reverse-engineer, decompile, or attempt to extract the source code of the Service.
• Use the Service for illegal purposes or to facilitate illegal activity.
• Resell or sublicense access to the Service without our written consent.

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

5. Privacy and data processing

When you install the OCT tracking script on your website, you are the data controller for any personal data captured from your visitors. OCT acts as a data processor on your behalf. You are responsible for:

• Obtaining appropriate consent from your website visitors before tracking their form submissions, as required by applicable law.
• Including OCT in your privacy policy as a data processor.
• Ensuring your use of captured data complies with all applicable privacy laws.

Our Privacy Policy describes how we handle personal data in our capacity as both data controller (for account data) and data processor (for lead data).

6. Plans, billing, and payment

OCT offers paid subscription plans billed monthly. By subscribing to a paid plan you authorise us (via our billing provider, Polar) to charge your payment method on a recurring basis.

• Prices are displayed in US dollars (USD) and do not include applicable taxes.
• Subscriptions renew automatically unless cancelled before the renewal date.
• We do not offer refunds for partial billing periods. If you cancel, you retain access until the end of the current billing period.
• We reserve the right to change pricing with 30 days' notice. Continued use after a price change takes effect constitutes acceptance of the new price.

7. Plan limits

Each plan includes specific limits on the number of projects. Unlimited leads means we do not impose a hard cap on lead volume, but we reserve the right to contact you if usage patterns suggest abuse or misuse. Data retention limits apply per plan as described in the Privacy Policy.

8. Intellectual property

OCT and all associated intellectual property — including the tracking script, dashboard, API, and documentation — remain the exclusive property of Offline Conversions Tracking. These Terms do not grant you any ownership rights.

You retain all rights to the lead data you collect through the Service. By storing data in OCT you grant us a limited, non-exclusive licence to process that data solely for the purpose of delivering the Service to you.

9. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DATA WILL NOT BE LOST.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OCT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Termination

Either party may terminate the service relationship at any time. You can delete your account from your account settings. We may suspend or terminate your account for violations of these Terms. Upon termination, your data will be deleted according to the retention schedule in our Privacy Policy.

12. Governing law

These Terms are governed by and construed in accordance with applicable law. Any disputes arising from these Terms shall be resolved through good-faith negotiation in the first instance. If resolution cannot be reached, disputes shall be submitted to binding arbitration.

13. Changes to these terms

We may update these Terms from time to time. We will notify you of material changes by email or by displaying a notice in the dashboard. Continued use of the Service after the effective date of changes constitutes your acceptance.
